Terms of Service for Chime

1. Agreement to Terms

By downloading, installing, or using Chime ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User" or "you") and the developer of Chime ("we," "us," or "our").


2. Description of Service

Chime is a macOS menu bar application that:

  • Monitors your system calendars and reminders
  • Provides timely alerts before meetings start
  • Automatically extracts and launches meeting URLs
  • Tracks meeting statistics and usage
  • Offers customizable alert settings

The App integrates with macOS Calendar and Reminders via EventKit and requires appropriate system permissions to function.


3. License Grant

3.1 Trial License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App during the trial period:

  • Production builds: 7 days
  • TestFlight builds: 90 days

Trial duration begins upon first launch and is enforced via timestamp validation on your device.

3.2 Paid License

Upon purchase of a subscription or lifetime license, we grant you:

  • Subscriptions: A renewable license valid during your active subscription period
  • Lifetime License: A perpetual, non-transferable license to use the App

3.3 License Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the App
  • Modify, adapt, or create derivative works
  • Remove or alter any proprietary notices
  • Rent, lease, sell, or sublicense the App
  • Use the App for any illegal purpose
  • Circumvent trial or licensing mechanisms
  • Share your license with others

4. Free Trial

4.1 Trial Terms

  • One free trial per user, per Mac
  • Trial duration varies by build type (see Section 3.1)
  • Trial begins automatically upon first launch
  • No payment method required for trial
  • Full functionality available during trial

4.2 Trial Expiration

Upon trial expiration:

  • The App will prompt you to purchase a license
  • Alert functionality will be disabled until purchase
  • You may view the App but alerts will not be delivered
  • After 3 paywall dismissals, the App will quit

4.3 Trial Manipulation

Attempts to extend or reset the trial period (including but not limited to system clock manipulation, file modification, or reinstallation fraud) are prohibited and may result in:

  • Immediate license termination
  • Inability to purchase the App
  • Legal action if damages occur

5. Subscriptions and Purchases

5.1 Purchase Options

The App offers the following purchase options:

  • Monthly Subscription: Auto-renewing monthly
  • Annual Subscription: Auto-renewing yearly
  • Lifetime License: One-time purchase, perpetual access

5.2 Payment Processing

  • All purchases are processed through the Apple App Store
  • Prices are displayed in your local currency
  • Payment is charged to your Apple ID account
  • We do not have access to your payment information

5.3 Auto-Renewal

For subscription purchases:

  • Subscriptions automatically renew unless canceled
  • Your account will be charged 24 hours before renewal
  • Renewal occurs at the current subscription price
  • You can manage subscriptions in App Store Settings
  • Cancel anytime to prevent future charges

5.4 Refunds

  • Refund requests must be submitted to Apple
  • We cannot directly process refunds for App Store purchases
  • Refund eligibility determined by Apple's policies
  • Contact Apple Support or request via reportaproblem.apple.com

5.5 Lifetime License

  • One-time payment for perpetual access
  • Access valid for the lifetime of the App
  • Does not guarantee lifetime updates or support
  • Non-transferable to other users or devices (except via Family Sharing)

5.6 Price Changes

We reserve the right to change subscription prices. Price changes will:

  • Not affect existing subscription periods
  • Apply only to new subscriptions or renewals after notice
  • Be communicated in advance when possible

6. System Requirements and Compatibility

6.1 Requirements

The App requires:

  • macOS 14.0 or later
  • Calendar and Reminders permissions
  • Notification permissions
  • Active internet connection (for purchases and analytics only)

6.2 Compatibility

  • The App is designed for macOS only
  • May not function on beta or unsupported macOS versions
  • We are not responsible for compatibility issues with future macOS updates
  • Major macOS updates may require App updates

7. User Responsibilities

7.1 Calendar Permissions

You are responsible for:

  • Granting appropriate system permissions
  • Selecting which calendars to monitor
  • Ensuring calendar data accuracy (we read from your system)
  • Understanding that the App reads your calendar data locally

7.2 Alert Reliability

While we strive for reliable alerts, you acknowledge:

  • The App depends on your Mac being powered on and running
  • System sleep, low power mode, or crashes may affect alerts
  • Internet connectivity issues may delay cloud calendar sync
  • You should not solely rely on the App for critical meetings

Important: The App is a convenience tool, not a guaranteed alarm system.

7.3 Meeting URLs

You acknowledge:

  • The App extracts meeting URLs from calendar notes/locations
  • URL accuracy depends on your calendar data
  • We support 30+ platforms but cannot guarantee all formats
  • Some URLs may not auto-launch correctly

7.4 System Clock

You agree to:

  • Maintain accurate system time and date
  • Not manipulate system clock to circumvent trial periods
  • Understand that clock changes may affect alert timing

8. Intellectual Property

8.1 Ownership

All rights, title, and interest in the App, including:

  • Source code and object code
  • User interface design
  • Trademarks and branding ("Chime")
  • Documentation and help materials
  • Updates and derivatives

are owned exclusively by us or our licensors.

8.2 Trademarks

"Chime" and related logos are trademarks. You may not use our trademarks without prior written permission.

8.3 Feedback

If you provide feedback, suggestions, or feature requests:

  • We may use such feedback without obligation to you
  • You grant us a perpetual, royalty-free license to implement feedback
  • No compensation is owed for feedback

9. Privacy and Data

9.1 Privacy Policy

Your use of the App is also governed by our Privacy Policy.

9.2 Calendar Data

  • The App accesses your calendar data with your permission
  • Calendar data is stored locally on your Mac
  • We do not transmit calendar content to our servers

9.3 Analytics

  • Optional usage analytics via PostHog
  • Can be disabled during onboarding or in Settings
  • See Privacy Policy for what is collected

10. Disclaimers and Warranties

10.1 "AS IS" Provision

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability
  • Uninterrupted or error-free operation

10.2 No Guarantee of Alert Delivery

WE DO NOT GUARANTEE:

  • Alerts will be delivered on time or at all
  • The App will function without interruption
  • All meeting URLs will be detected or launched
  • Compatibility with all calendar systems
  • Prevention of missed meetings

10.3 Third-Party Services

The App integrates with:

  • Apple Calendar and Reminders (via EventKit)
  • Meeting platforms (Zoom, Teams, Google Meet, etc.)
  • Apple App Store (for purchases)
  • PostHog (for analytics, if enabled)

We are not responsible for:

  • Third-party service outages or changes
  • Meeting platform compatibility changes
  • Apple's EventKit API changes
  • PostHog service availability

11. Limitation of Liability

11.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.

For free trial users, maximum liability is $0.00 USD.

11.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

  • Missed meetings or appointments
  • Lost business opportunities or revenue
  • Damage to professional reputation
  • Indirect, incidental, or consequential damages
  • Punitive or exemplary damages
  • Data loss (though calendar data is stored locally)
  • System crashes or conflicts

11.3 Essential Purpose

These limitations apply even if a remedy fails of its essential purpose.


12. Indemnification

You agree to indemnify and hold harmless the App developer, its affiliates, and licensors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of the App
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

13. Termination

13.1 Termination by You

You may terminate this agreement at any time by:

  • Uninstalling the App
  • Canceling your subscription (if applicable)
  • Ceasing all use of the App

13.2 Termination by Us

We may terminate or suspend your license immediately if:

  • You violate these Terms
  • You engage in fraudulent activity
  • You attempt to circumvent trial or payment systems
  • Required by law

13.3 Effect of Termination

Upon termination:

  • Your license to use the App ends immediately
  • You must cease all use and delete the App
  • Subscriptions do not receive prorated refunds
  • Sections 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), and 12 (Indemnification) survive termination

14. Updates and Modifications

14.1 App Updates

We may release updates that:

  • Add new features
  • Fix bugs or security issues
  • Improve performance
  • Change functionality

Updates may be:

  • Automatic (via App Store)
  • Required for continued use
  • Not guaranteed for older macOS versions

14.2 Terms Updates

We may modify these Terms at any time. Changes will be effective:

  • Immediately upon posting for minor changes
  • After 30 days notice for material changes
  • Upon your acceptance for significant changes

Continued use after changes constitutes acceptance.


15. Export Compliance

You agree to comply with all applicable export and import laws. You represent that you are not:

  • Located in a country subject to U.S. embargo
  • Listed on any U.S. government prohibited or restricted party list

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by applicable laws, without regard to conflict of law principles.

16.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of applicable courts for any disputes.


17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to reflect our intent as closely as possible.


18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App, superseding any prior agreements.


19. No Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of such right or provision.


20. Assignment

You may not assign or transfer these Terms or your license without our written consent. We may assign these Terms without restriction.


21. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including:

  • Natural disasters
  • Acts of government
  • Internet service provider failures
  • Apple App Store outages
  • Pandemics or public health emergencies

22. Accessibility

We strive to make the App accessible to users with disabilities. If you encounter accessibility issues, please contact us.


23. App Store Terms

Your use of the App is also subject to Apple's Licensed Application End User License Agreement (EULA). In case of conflict, these Terms supersede the standard EULA.

23.1 Apple as Third Party Beneficiary

Apple is a third-party beneficiary of these Terms and may enforce them.

23.2 Apple's Responsibilities

Apple is not responsible for:

  • The App or its content
  • Maintenance or support (our responsibility)
  • Product warranty claims
  • Intellectual property infringement claims
  • Compliance with applicable laws

IF YOU DO NOT AGREE, DO NOT USE THE APP.
